Vendor Agreement

Vendor Space Use – Terms of Agreement This Terms of Agreement (“Agreement”) is entered into between [The Ice Palace] (“Host”) and [Vendor Business Name] (“Vendor”) for the use of space at [The Ice Palace at 1 Main Walk, Cherry Grove, NY 11782]. 1. Eligibility & Business Compliance: The Vendor confirms that they are legally authorized to operate their business and agrees to maintain all required registrations and licenses throughout the term of this Agreement, including but not limited to: Valid business license(s) Federal and/or State Tax ID (EIN or SSN, as applicable) Any additional permits required by local or state authorities. Copies of these documents must be provided to the Host upon request. 2. Food & Product Handling Permits (If Applicable) If the Vendor sells food or consumable products, the Vendor is responsible for obtaining and maintaining all required permits and approvals, which may include: Food handling or food service permits Cottage food permits Health department approvals Temporary event food permits Requirements vary based on the type of product sold (e.g., produce, baked goods, meats, dairy, or processed foods) and the Vendor agrees to comply with all applicable regulations. 3. Product Source & Origin Disclosure The Vendor must provide proof of source or origin for all products sold, when required by law or requested by the Host. This may include: Farm or producer information Distributor or wholesaler documentation Certificates of origin or invoices Products must be legally sourced and approved for sale under applicable laws. 4. Labeling & Consumer Information The Vendor is responsible for ensuring that all products are properly labeled in accordance with local, state, and federal regulations. Labeling requirements may include: Product name and description Ingredient lists and allergen disclosures Net weight or quantity Producer or business name and contact information Country or state of origin, when required 5. Sanitary & Safety Standards The Vendor agrees to maintain clean, sanitary, and safe conditions at all times, including: Proper food storage and temperature control Clean preparation and display areas Appropriate waste disposal Compliance with health and safety inspections, if applicable The Host reserves the right to require immediate correction of unsafe or unsanitary conditions. 6. Specialized Products & Certifications Certain products may require additional certifications or licenses. These may include, but are not limited to: Organic certification for products marketed as “organic” Specialized licenses for processed, canned, bottled, or preserved foods Meat, poultry, seafood, or dairy handling permits The Vendor is solely responsible for obtaining and maintaining these approvals. 7. Insurance & Liability The Vendor agrees to carry general liability insurance with coverage amounts required by law or reasonably requested by the Host. Proof of insurance must be provided prior to space use and upon renewal. The Vendor assumes full responsibility for their products, operations, employees, and customers, and agrees to hold harmless the Host from any claims arising from Vendor activities. 8. Compliance with Laws The Vendor agrees to comply with all applicable local, state, and federal laws, regulations, and ordinances related to their business operations and products. Failure to comply may result in immediate termination of space use without refund. 9. Independent Operator The Vendor operates as an independent business and is not an employee, partner, or agent of the Host. 10. Agreement Acceptance By utilizing the space, the Vendor acknowledges that they have read, understood, and agreed to these Terms of Agreement.
